ARTICLES OF ASSOCIATION

ARTICLES OF ASSOCIATION 

ARTICLE I – NAME

The name of this organization shall be the Fountain Valley High School Cross Country Track & Field Boosters. (FVHS CC T&F Boosters).

ARTICLE II – LOCATION

.  The principal meeting location and mailing address for the transaction of business of the organization shall be located in Fountain Valley, California.

ARTICLE III – PURPOSE

The purposes of the organization are as follows: 

1.Promote and develop a more integrated relationship among the parents, administration, faculty, coaching staff, members of the Cross Country and Track & Field Teams, and the Fountain Valley High School Community.

2. Support the Cross Country and Track & Field Programs by providing transportation, lodging and meals for members and coaches of the Cross Country and Track & Field Teams for out of area athletic competitions and for the purchase of equipment and other expenses that are not covered by the Athletic Department budget.

3. Provide recognition for members of the Cross Country and Track & Field Teams by sponsoring various award ceremonies, social events, and scholarships.

Said organization is organized exclusively for charitable, religious, educational, and scientific purposes, including, for such purposes, the making of distributions to organizations under section 501 (c) (3) of the Internal Revenue Code, or corresponding section of any future federal tax code.

No part of the earnings of the organization shall inure to the benefit of, or be distributable to its members, trustees, officers, or other private persons, except that the organization shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in the purpose clause thereof.  No substantial part of the activities of the organization shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the organization shall not participate in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of any candidate for public office. 

Notwithstanding any other provisions of this document, the organization shall not carry on any other activities not permitted to be carried on (a) by an organization exempt from federal income tax under section 501 (c) (3) of the Internal Revenue Code, or corresponding section of any future federal tax code, or (b) by an organization, contributions to which are tax deductible under section 170 (c) (2) of the Internal Revenue Code, or corresponding section of any future federal tax code.

ARTICLE IV – MEMBERSHIP

Membership in this Association shall be made available to any individual who subscribes to the purpose of this Association.

ARTICLE V – OFFICERS

  The officers of this Association shall be a president, first vice-president, second vice-president, secretary, and treasurer. Officers shall be appointed or a volunteer from the membership.

  Officers shall serve for a term of one year. Officers may serve unlimited consecutive terms if appointed by members of the Association.

ARTICLE VI – DUTIES OF THE OFFICERS

The President shall preside at all regular and special meetings of the Association, coordinate the operations of the Association, and appoint committees as deemed necessary.

The First Vice-President - shall preside in the absence of the President over all regular and special meetings, coordinate the operations of the Association, and appoint committees as deemed necessary.. 

The Second Vice-President - shall preside in the absence of the President and First Vice President over all regular and special meetings, coordinate the operations of the Association, and appoint committees as deemed necessary. 

The Vice-President duties will also include that of trustee, requiring a minimum of two trustees to review bank statement against general ledger provided by the treasurer at the monthly booster meeting.

The Secretary shall keep minutes of all meetings and shall provide copies of minutes to the board.

The Treasurer shall  be responsible for all monies received by the organization, and deposit the same in such Bank or Credit Union as the organization may direct in the name of the Fountain Valley High School Cross Country / Track and Field Boosters shall pay all bills sanctioned by the organization and its members, and prepare and present a financial report at each Membership Meeting.  It is also the responsibility of the Treasurer to oversee the preparation and submission of the Association’s tax returns based upon a fiscal year that starts on July 1st and ends June 30th.  The Treasurer shall also coordinate the Associate Student Body account with the Fountain Valley High School financial secretary and perform other duties as may pertain to his/her office.

ARTICLE VII – MEETINGS

The monthly meetings of this association shall be on a night deemed appropriate by the officers of the association.

ARTICLE VIII – PARLIAMENTARY AUTHORITY

.  In the conduct of all meetings, the rules contained in the current edition of ROBERT’S RULES OF ORDER shall govern in all cases in which they are applicable and in which they are not in conflict with these Articles of Association.

ARTICLE IX – AMENDMENTS

. Any member may at any regular meeting or officers meeting, introduce an amendment which will be reviewed by the officers and brought forward for a vote at the next membership meeting.  The vote must be carried by a two thirds majority of the members present.

ARTICLE X – AUTHORIZED SIGNERS

The authority to sign on behalf of the Association shall require two officers not from the same household, not to include the Treasurer. 

ARTICLE XI X – DISSOLUTION

On the winding up and dissolution of this Association, after paying or adequately providing for the debts, obligations, and liabilities of the Association, the remaining assets of the Association shall be distributed to such organization (or organizations) organized and established exclusively for charitable or education purposes which has established its tax exempt status under Section 501 (c) (3) of the Internal Revenue Code of 1986.

ARTICLES OF ASSOCIATION

 

ARTICLE I – NAME

The name of our association shall be the Fountain Valley High School Cross Country Track & Field Boosters.

ARTICLE II – LOCATION

The place in this state of California where the principal office of the Association is to be located is the City of Fountain Valley in the County of Orange.

ARTICLE III – PURPOSE

The purposes for which our association is formed are for the following:  To promote and develop a more integrated relationship among the parents, administration, faculty, coaching staff, members of the Cross Country and Track & Field Teams, and the Fountain Valley High School Community, secondarily to support the Cross Country and Track & Field Programs by providing transportation, lodging and meals for members and coaches of the Cross Country and Track & Field Teams for out of area athletic competitions and for the purchase of equipment and that are not covered by the Athletic Department budget through the generation of funds; Thirdly, to provide recognition for members of the Cross Country and Track & Field Teams by sponsoring various award ceremonies and meals.

Section 1.  The officers of this association shall be a president, vice-president of boys cross-country, vice-president of girls cross-country, vice-president of boys track and field, vice-president of girls track and field, secretary and treasurer appointed or a volunteer from the membership.

Section 2.  Officers shall serve for a term of one year or until their successors are selected.

ARTICLE VI – DUTIES OF THE OFFICERS

The president shall conduct all of the business of the association and may set up committees as deemed necessary.

The vice-president of boys cross-country and track and field shall perform all duties and exercise all powers of the president if the president is absent.  He/She will also serve as liaison with the boy cross-country and track and field team parents respectively.

The vice-president of girls cross-country and track and field shall perform all duties and exercise all powers of the president if the president is absent.  He/She will also serve as liaison with the girl cross-country and track and field team parents respectively.

The vice-president duties will also include that of trustee, requiring a minimum of two trustees to review bank statement against general ledger provided by the treasurer at the monthly booster meeting.

The secretary shall keep minutes of all meetings and shall provide copies of minutes to the board.

The treasurer shall prepare the Association budget, receive, record and deposit dues; keep up-to-date records of the Association’s finances; deposit all monies received in the Association’s account, handle all payments, provide annual financial reports to the members and coordinate the Associate Student Body account with the Fountain Valley High School financial secretary.

ARTICLE VII – MEETINGS

The monthly meetings of this association shall be on a night deemed appropriate by the officers of the association.

ARTICLE VIII – PARLIAMENTARY AUTHORITY

“Roberts rules of order newly revised” shall govern this association in all cases in which they are applicable and not in conflict with these article.

ARTICLE IX – AMENDMENTS

These articles may be amended by a two-thirds vote at the annual meeting by two-thirds of those in attendance.

ARTICLE X – AUTHORIZED SIGNERS

The authority to sign on behalf of the committee shall require two authorized signers not from the same household.  Authorized signers shall consist of two board members.

ARTICLE XI – DISSOLUTION

On the winding up and dissolution of this Association, after paying or adequately providing for the debts, obligations, and liabilities of the Association, the remaining assets of the Association shall be distributed to such organization (or organizations) organized and established exclusively for charitable or education purposes which has established its tax exempt status under Section 501 (c) (3) of the Internal Revenue Code of 1986.
